GENERAL TERMS AND CONDITIONS OF SALE

Important notes

The Products made available on this site are intended strictly for personal use. Should an order be placed for Products intended for resale, HEDONIST LABS reserves the right to refuse the order. Distributors and pharmacies are kindly asked to email us at support@hedonistlabs.com.

Orders are prepared by our teams on our premises.

Each Product is shipped with a seal, a security device ensuring that the container has not been tampered with. If the Customer finds upon delivery that the seal is missing or broken, they may refuse the parcel or accept it while reporting this anomaly to HEDONIST LABS. This check is an option, not an obligation: the Customer's rights are not conditional upon it. HEDONIST LABS will then, at the Customer's choice, replace the Product or refund the order, at no cost to the Customer, and will itself handle any claim against the carrier.


1. Scope of application

These terms and conditions of sale apply, without restriction or reservation, to all sales concluded between, on the one hand, HEDONIST LABS, a French simplified joint-stock company (société par actions simplifiée) with a share capital of €11,875, registered in the Paris Trade and Companies Register under number 884 875 295, whose registered office is located at 10 rue de la Paix, 75002 PARIS, whose intra-Community VAT number is FR28884875295 and whose trade name is HEDONIST LABS (hereinafter "HEDONIST LABS"), and, on the other hand, any non-professional purchaser (hereinafter the "Customer" or "Customers") wishing to purchase the products offered for sale by HEDONIST LABS (hereinafter the "Products") via the website (hereinafter the "Website").

In particular, they set out the conditions for ordering, payment, delivery and the handling of any returns of Products ordered by Customers.

The Products offered for sale on the Website are food supplements, plant extracts, cosmetic products and care products. The main characteristics of the Products, including their specifications, illustrations and indications of size or capacity, are presented on the Website. The Customer is invited to review them before placing any order.

The photographs and graphics illustrating the Products on the Website are provided for guidance only. Minor differences in presentation, in particular in colour shade, packaging format or seasonal visuals, may exist without affecting the essential characteristics of the Product.

The essential characteristics of each Product are those described on its product page, which forms an integral part of the contract.

These provisions are without prejudice to the rights the Customer holds under the legal guarantee of conformity (Articles L. 217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code). The conformity of the Product delivered is assessed in light of all the elements of the contract and the pre-contractual information provided to the Customer, and not solely on the basis of HEDONIST LABS' own assessment.

Validation of the order by the Customer constitutes acceptance, without restriction or reservation, of these terms and conditions of sale. The Customer acknowledges having the legal capacity required to enter into a contract and purchase the Products offered on the Website.

These terms and conditions of sale shall prevail over any other general or special terms not expressly approved by HEDONIST LABS. They are accessible at all times on the Website. The Customer declares that they have read and accepted them by ticking the box provided for this purpose before starting the online ordering procedure, together with the general terms of use of the Website.

HEDONIST LABS reserves the right to amend its terms and conditions of sale at any time. The terms applicable to an order are those in force on the date the order is placed; no subsequent amendment may be enforced against the Customer for an order that has already been validated.

Unless proven otherwise, the data recorded in HEDONIST LABS' computer system constitutes proof of all transactions concluded with the Customer. This provision does not limit the means of evidence on which the Customer may rely.

These general terms and conditions of sale are entered into for the period required to supply the Products.

The processing of the Customer's personal data is described in Article 11 hereof.


2. Orders

The Customer may place an order online on the Website.

A Customer wishing to place an order must proceed as follows:

  • create a "customer account" in which they provide all the contact details requested;
  • put together an online "cart" by selecting the chosen Products;
  • accept these general terms and conditions of sale and confirm the order after checking it;
  • make payment under the conditions provided.

Any order implies acceptance, without restriction or reservation, of these general terms and conditions of sale and constitutes acceptance of the prices and description of the Products available for sale.

Contractual information is presented in French and is confirmed no later than the time the order is validated by the Customer.

The sale is only deemed final once HEDONIST LABS has sent the Customer confirmation of acceptance of the order by email and once payment has been received in full. It is the Customer's responsibility to check the accuracy of the order and to report any error immediately.

Any order placed on the Website constitutes the formation of a distance contract between the Customer and HEDONIST LABS.

Availability of Products. HEDONIST LABS' Product offers are valid while stocks last.

Where a Product ordered is unavailable or out of stock, HEDONIST LABS informs the Customer as soon as possible, by email or, in the case of an order covering several Products, on the invoice for the Products shipped, indicating the expected availability date.

The Customer may then choose between a refund of the unavailable Product or a credit note of an equivalent amount, which can be used for a subsequent order. The refund is made no later than fourteen (14) days after the Customer's request, using the same means of payment as that used for the order, unless the Customer expressly agrees to another means.

If the Customer chooses to cancel the order, the sums paid are refunded in full within the same period.

HEDONIST LABS' liability for the unavailability of a Product is governed by the ordinary rules of law; in particular, the Customer retains the right to claim compensation for any loss they can substantiate.

Only a permanent stock-out of a Product at HEDONIST LABS' suppliers results in its removal from the sales offer. HEDONIST LABS then removes the Product from the Website as soon as possible.

HEDONIST LABS reserves the right to cancel or refuse any order from a Customer with whom there is an ongoing dispute relating to the payment of a previous order.


3. Offers and prices

HEDONIST LABS reserves the right to change its prices at any time but undertakes to apply the prices in force as indicated at the time of the order, subject to availability on that date. Offers and Products are supplied at the current prices shown on the Website when the order is registered.

Product prices are quoted in euros, inclusive of all taxes. They do not include delivery, packaging and order-processing costs, which are invoiced in addition and indicated before the order is validated.

Promotional offers are valid for the validity period they state and for as long as they are displayed on the Website, and while stocks last. Orders can only be accepted if the prices stated match those of the offer in force.

The price is payable in full and in a single instalment on the day the order is placed, by secure payment. Under no circumstances may the sums paid be considered as a deposit or down payment. No cash-on-delivery shipments will be accepted.

Should one or more taxes or contributions, in particular environmental ones, be created or amended, whether upwards or downwards, this change may be passed on to the sale price of the Products for orders placed after such creation or amendment. The price of an order already validated by the Customer may under no circumstances be changed.

All orders are invoiced in euros and payable in euros.

In the event of non-compliance with the payment terms, HEDONIST LABS reserves the right to suspend or cancel the delivery of pending orders placed by the Customer.


4. Delivery

Delivery consists of the transfer to the Customer of physical possession or control of the Product.

4.1. Costs of making the Products available

For each order, a flat-rate contribution to the costs of making the Products available is charged, covering postage, packaging and order processing. The flat-rate contribution depends on the delivery method chosen by the Customer when placing the order. It is inclusive of VAT.

In order to reduce transport costs, all small and medium-sized Products are shipped via La Poste's Colissimo Suivi service, with an indicative delivery time of forty-eight (48) hours in mainland France. If the Customer is absent when the postal worker calls, a delivery notice allows them to collect the parcel from the post office during opening hours, within fifteen (15) days. The Customer can track their order using the Colissimo number sent to them by email on the day of dispatch.

For availability reasons, an order may be delivered in several shipments. In that case, the Customer pays for one delivery only.

4.2. Product delivery times

In accordance with Article L. 216-1 of the French Consumer Code, HEDONIST LABS delivers the Products on the date or within the period indicated to the Customer at the time of the order and, failing such indication, without undue delay and no later than thirty (30) days after the conclusion of the contract.

Parcel not received. If the Products ordered have not been delivered within thirty (30) days of the order being placed, the Customer informs HEDONIST LABS as soon as possible, by telephone or email. HEDONIST LABS contacts the carrier so that it can open an investigation, which may take up to twenty-one (21) days. If the Products are found, they are redirected to the Customer's address. If they are not found at the end of the investigation, they are deemed lost and HEDONIST LABS sends the Customer replacement Products at no additional cost. If the Products ordered are no longer available, HEDONIST LABS refunds the amount of the Products deemed lost.

Applicable price. The applicable price is the price in force on the Website on the day the order is validated. It may not be unilaterally changed by HEDONIST LABS after the contract has been concluded. If a Product deemed lost has to be replaced and its sale price has changed since the order, the replacement is made at no extra cost to the Customer; if the price has decreased, HEDONIST LABS refunds the difference to the Customer using the same means of payment as that used for the order.

Breach of the delivery obligation. If HEDONIST LABS fails to meet its delivery obligation, the Customer may exercise the rights provided for in Article L. 216-6 of the French Consumer Code, in particular suspend payment and terminate the contract after a formal notice has remained without effect, or immediately in the cases provided for in paragraph II of the same Article.

If the contract is terminated, HEDONIST LABS refunds the Customer all sums paid, no later than fourteen (14) days after the date on which the contract was terminated, in accordance with Article L. 216-7 of the French Consumer Code. This refund is without prejudice to any damages that may be awarded to the Customer.

As a commercial gesture, HEDONIST LABS also offers the Customer the option of requesting cancellation of the sale where the Products have not been delivered within ten (10) days of the indicative delivery date, for any reason other than force majeure or an act of the Customer. This option is in addition to the Customer's statutory rights and does not replace them.

4.3. Delivery address

The Products are delivered to the address indicated by the Customer when placing the order. The Customer is responsible for ensuring that it is accurate.

Where a parcel is returned to HEDONIST LABS because of an incorrect or incomplete delivery address provided by the Customer, the reshipping costs are borne by the Customer. This provision does not release HEDONIST LABS from the strict liability provided for in Article L. 221-15 of the French Consumer Code for any other cause of non-performance.

If the Customer wishes to have Products delivered to two different addresses, they must place two separate orders, with the corresponding delivery charges.

4.4. Receipt of the order

In accordance with Article L. 221-15 of the French Consumer Code, HEDONIST LABS is automatically liable to the Customer for the proper performance of the order, including where delivery is entrusted to a carrier.

The Customer is not required to check the condition of the parcel at the time of delivery, nor to lodge reservations with the carrier, in order to benefit from their rights against HEDONIST LABS.

If the Customer finds upon delivery that the parcel is damaged, they may, if they so wish and without this being a condition of their rights, refuse the parcel — which will then be returned to HEDONIST LABS — or accept it while noting the damage to the packaging on the delivery note.

If the Customer finds any damage, missing item or non-conformity after opening the parcel, they inform HEDONIST LABS:

  • by post: HEDONIST LABS, 10 rue de la Paix, 75002 PARIS;
  • by email: support@hedonistlabs.com;
  • by telephone on 01 82 28 67 47, Monday to Friday from 9.30 a.m. to 6.30 p.m.

HEDONIST LABS then, at the Customer's choice, replaces the Product(s) concerned or refunds the order, at no cost to the Customer. HEDONIST LABS itself handles any claim against the carrier.

HEDONIST LABS may ask the Customer to return the damaged Product(s), in which case the return costs are borne by HEDONIST LABS. In the event of proven fraud, HEDONIST LABS reserves the right to refuse to honour any subsequent order from the Customer.

These provisions are without prejudice to the legal guarantee of conformity (Articles L. 217-3 et seq. of the French Consumer Code) and the warranty against hidden defects (Articles 1641 et seq. of the French Civil Code), which the Customer may invoke within the statutory time limits.

Returns marked "NPAI" or "unclaimed". Returns marked "NPAI" are parcels returned by the delivery service provider with the note "N'habite Pas à l'Adresse Indiquée" (addressee not known at the address given). Returns marked "unclaimed" are parcels that were not collected by the Customer from the post office or the pick-up point chosen when ordering within fifteen (15) days of the delivery notice.

In either case, once HEDONIST LABS has received and accepted the returned parcel, the Customer obtains, at their choice, a refund of the order amount, less shipping costs, or a credit note of an equivalent amount credited to their customer account and usable for a subsequent order. The refund or credit note is issued as soon as possible and no later than fourteen (14) days after HEDONIST LABS receives the parcel.

4.5. Orders delivered outside the European Union

Orders shipped to countries outside the European Union, including Switzerland and Norway, are quoted exclusive of tax. Taxes are payable by the Customer upon receipt of the parcel, in accordance with the laws in force in the country of destination.

It is the Customer's responsibility to check with the local authorities regarding any customs duties, local taxes and other import duties that may be charged to them, as these are not the responsibility of HEDONIST LABS.

The Products marketed by HEDONIST LABS comply with French regulations. It is the Customer's responsibility to check with the competent authority in their country regarding any restrictions on the import and use of the Products ordered. HEDONIST LABS cannot be held liable for non-compliance with the regulations of a third country resulting from such failure to obtain information, without this provision releasing it from its obligations under the contract and the legal guarantees.


5. Right of withdrawal

In accordance with Article L. 221-18 of the French Consumer Code, the Customer has a period of fourteen (14) days from receipt of their order to exercise their right of withdrawal, without having to give any reason or bear any costs other than those provided for in Articles L. 221-23 to L. 221-25 of the same Code.

This period starts at the beginning of the first hour of the first day and ends at the end of the last hour of the last day. If it expires on a Saturday, Sunday, public holiday or non-working day, it is extended until the next working day.

Exception applicable to sealed Products

In accordance with Article L. 221-28, 4° of the French Consumer Code, the right of withdrawal cannot be exercised for Products that have been unsealed by the Customer after delivery and that cannot be returned for reasons of hygiene or health protection. Given the nature of the Products sold — food supplements, plant extracts, cosmetic products and care products — all Products are shipped under seal and fall within this exception once the seal has been broken.

The Customer is expressly informed of this exception before placing their order. Products whose seal has remained intact remain fully covered by the right of withdrawal.

How to exercise the right of withdrawal

The Customer informs HEDONIST LABS of their decision to withdraw using the form set out below, or any other unambiguous statement, sent by post or email to the contact details given in Article 1.

The Customer returns the Products no later than fourteen (14) days after communicating their decision to withdraw, to the following address:

The direct costs of returning the Products are borne by the Customer. It is advisable to return the Products by tracked post; HEDONIST LABS cannot be held liable if the parcel is lost in the post.

In accordance with Article L. 221-23 of the French Consumer Code, the Customer is only liable for any diminished value of the Products resulting from handling other than what is necessary to establish their nature, characteristics and proper functioning.

6. Refunds

If the order is not received. If the order is not received within the delivery times referred to above, for any reason other than force majeure or an act of the Customer, the sale may be cancelled at the Customer's request under the conditions provided for in Article L. 216-6 of the French Consumer Code. The sums paid by the Customer are then refunded no later than fourteen (14) days after the date on which the contract was terminated, in accordance with Article L. 216-7 of the same Code. This refund is without prejudice to any damages that may be awarded to the Customer.

If the Product ordered is unavailable. A Customer who has opted for a refund is refunded the sums paid no later than fourteen (14) days after their request.

If the right of withdrawal is exercised. HEDONIST LABS refunds the Customer all sums paid, including standard delivery costs, no later than fourteen (14) days after the date on which it is informed of the Customer's decision to withdraw. HEDONIST LABS may, however, defer the refund until it has recovered the Products or until the Customer has provided proof of having shipped them, whichever occurs first. The direct costs of returning the Products remain payable by the Customer. If the Customer has chosen a delivery method that is more expensive than the standard method offered, the additional costs are not refunded.

Pre-order Products. For Products marked "pre-order", the expected delivery date is indicated on the product page. The Customer retains all the rights provided for in Articles L. 216-1 et seq. of the French Consumer Code.

Refunds are made using the same means of payment as that used by the Customer for the order, unless the Customer expressly agrees to another means, and at no cost to the Customer.

HEDONIST LABS reserves the right to cancel and refund any order placed by a professional.


7. Payment terms

This is an order with an obligation to pay: placing the order implies payment by the Customer.

To pay for their order, the Customer may use the payment methods made available by HEDONIST LABS and listed on the Website, namely payment by bank card (Shopify Payments) or the PayPal service.

The Customer warrants to HEDONIST LABS that they hold any authorisations required to use the payment method chosen when validating the order form. HEDONIST LABS reserves the right to suspend the processing of any order and any delivery if payment authorisation is refused by the officially accredited bodies, or in the event of non-payment.

In particular, HEDONIST LABS reserves the right to refuse to make a delivery or to honour an order from a Customer who has not paid, in full or in part, for a previous order, or with whom a payment dispute is ongoing.

Payment by bank card

Payment by bank card is made directly online through a secure transaction via the Shopify Payments system. Payment data is exchanged in encrypted form using the TLS protocol.

HEDONIST LABS does not collect, process or store any bank card data. Payment data is transmitted directly to the payment service providers (Shopify Payments, PayPal), which alone are authorised to process it.

Under no circumstances should the Customer send their bank card details to HEDONIST LABS by email, fax, telephone or post. No order sent by these means and containing bank card details will be processed.


8. Transfer of ownership — Transfer of risk

Ownership of the Products is transferred to the Customer only once the price has been paid in full, regardless of the delivery date of the Products.

Regardless of the date of transfer of ownership, the risk of loss and damage is transferred only when the Customer takes physical possession of the Products. The Products therefore travel at HEDONIST LABS' risk.


9. Legal guarantees — Liability

Notice provided for in Article D. 211-2 of the French Consumer Code

The consumer has a period of two years from the delivery of the goods to obtain the implementation of the legal guarantee of conformity in the event of a lack of conformity. During this period, the consumer is only required to establish the existence of the lack of conformity and not the date on which it appeared.

Where the contract for the sale of the goods provides for the continuous supply of digital content or a digital service for a period exceeding two years, the legal guarantee applies to that digital content or digital service throughout the intended supply period. During this period, the consumer is only required to establish the existence of the lack of conformity affecting the digital content or digital service and not the date on which it appeared.

The legal guarantee of conformity entails an obligation for the professional, where applicable, to provide all updates necessary to maintain the conformity of the goods.

The legal guarantee of conformity entitles the consumer to the repair or replacement of the goods within thirty days of their request, free of charge and without major inconvenience to them.

If the goods are repaired under the legal guarantee of conformity, the consumer benefits from a six-month extension of the initial guarantee.

If the consumer requests repair of the goods but the seller imposes replacement, the legal guarantee of conformity is renewed for a period of two years from the date of replacement of the goods.

The consumer may obtain a reduction in the purchase price while keeping the goods, or terminate the contract and obtain a full refund in exchange for returning the goods, if:

1° The professional refuses to repair or replace the goods;

2° The repair or replacement of the goods takes place after a period of thirty days;

3° The repair or replacement of the goods causes major inconvenience to the consumer, in particular where the consumer definitively bears the costs of taking back or removing the non-conforming goods, or bears the costs of installing the repaired or replacement goods;

4° The non-conformity of the goods persists despite the seller's unsuccessful attempt to bring them into conformity.

The consumer is also entitled to a reduction in the price of the goods or to termination of the contract where the lack of conformity is so serious that it justifies an immediate price reduction or termination of the contract. In that case, the consumer is not required to request the repair or replacement of the goods beforehand.

The consumer is not entitled to terminate the sale if the lack of conformity is minor.

Any period during which the goods are unavailable for the purpose of repair or replacement suspends the remaining guarantee period until the repaired goods are delivered.

The rights mentioned above result from the application of Articles L. 217-1 to L. 217-32 of the French Consumer Code.

A seller who in bad faith obstructs the implementation of the legal guarantee of conformity is liable to a civil fine of up to €300,000, which may be increased to 10% of average annual turnover (Article L. 241-5 of the French Consumer Code).

The consumer also benefits from the legal warranty against hidden defects pursuant to Articles 1641 to 1649 of the French Civil Code, for a period of two years from the discovery of the defect. This warranty entitles the consumer to a price reduction if the goods are kept, or to a full refund in exchange for returning the goods.

The Products sold on the Website comply with the regulations in force in France.

The Products supplied by HEDONIST LABS automatically benefit, without additional payment and independently of the right of withdrawal, from:

  • the legal guarantee of conformity, provided for in Articles L. 217-3 et seq. of the French Consumer Code;
  • the legal warranty against hidden defects, provided for in Articles 1641 et seq. of the French Civil Code, arising from a defect in materials, design or manufacture affecting the Products delivered and rendering them unfit for use.

Given the nature of the Products, which are consumable goods, bringing them into conformity takes in practice the form of a replacement or, if the Customer prefers or if replacement is impossible, a refund. The legal guarantee of conformity applies independently of any commercial warranty that may be granted.

To assert their rights, the Customer informs HEDONIST LABS in writing at the contact details given in Article 1.

Shipping costs are refunded on the basis of the rate invoiced, and return costs are refunded upon presentation of supporting documents.

Refunds for Products found to be non-conforming or affected by a hidden defect are made as soon as possible and no later than fourteen (14) days after HEDONIST LABS has established the lack of conformity or the hidden defect. Refunds are made using the same means of payment as that used for the order, unless the Customer expressly agrees otherwise.

Limitations of liability. HEDONIST LABS cannot be held liable for:

  • non-compliance with the legislation of the country to which the Products are delivered, where that country is outside France and it was the Customer's responsibility to obtain this information;
  • use of the Products that does not comply with the directions for use on the labelling or product page, or negligence attributable to the Customer;
  • a force majeure event within the meaning of Article 14 hereof.

These limitations do not apply to the obligations arising from the legal guarantees referred to in this Article, nor in the event of gross negligence or wilful misconduct on the part of HEDONIST LABS, nor in the event of personal injury. They do not deprive the Customer of their right to compensation for any loss they can prove to have suffered.


10. Intellectual property

All trademarks, photographs, texts, comments, illustrations, animated or still images, video sequences, sounds, and all software applications that may be used on the Website, and more generally all elements reproduced or used on the site, are protected by the intellectual property laws in force.

They are the full and exclusive property of HEDONIST LABS or its partners. Any reproduction, representation, use or adaptation, in any form whatsoever, of all or part of these elements, including software applications, without the prior written consent of HEDONIST LABS, is strictly prohibited.

The fact that HEDONIST LABS does not initiate proceedings as soon as it becomes aware of such unauthorised use does not constitute acceptance of such use or a waiver of the right to bring proceedings.


11. Personal data

Data controller. HEDONIST LABS, 10 rue de la Paix, 75002 PARIS — support@hedonistlabs.com.

Purposes and legal bases. The Customer's personal data is processed for the following purposes:

  • management of orders, delivery, invoicing and after-sales service — legal basis: performance of the contract;
  • management of the customer account — legal basis: performance of the contract;
  • sending of commercial communications and personalisation of the Website — legal basis: the Customer's consent, which may be withdrawn at any time;
  • compliance with legal and accounting obligations — legal basis: legal obligation;
  • prevention and management of unpaid amounts and fraud — legal basis: HEDONIST LABS' legitimate interest.

Recipients. The data may be shared with HEDONIST LABS' service providers responsible for the fulfilment, processing, management, payment and delivery of orders, acting as processors. HEDONIST LABS does not sell or rent its Customers' data to third parties for marketing purposes.

Retention periods. Order-related data is kept for the duration of the contractual relationship and then archived for the duration of the statutory retention obligations (in particular ten (10) years for accounting purposes). Marketing data is kept for three (3) years from the Customer's last contact.

Customer's rights. In accordance with Regulation (EU) 2016/679 (GDPR) and French Data Protection Act No. 78-17 of 6 January 1978, as amended, the Customer has the right to access, rectify and erase their data, to restrict its processing, to object to it and to data portability, as well as the right to set out instructions regarding the fate of their data after their death. These rights may be exercised by writing to support@hedonistlabs.com or by post to the registered office address, with proof of identity.

The Customer also has the right to lodge a complaint with the Commission nationale de l'informatique et des libertés (CNIL), 3 place de Fontenoy, TSA 80715, 75334 PARIS CEDEX 07 — www.cnil.fr.

Cookies. When the Customer browses the Website, cookies may be placed on their device. Cookies that are strictly necessary for the operation of the Website — in particular for cart management, session management and payment security — are placed without prior consent, in accordance with Article 82 of the French Act of 6 January 1978. Non-exempt audience-measurement, personalisation and advertising cookies are only placed after the Customer's consent has been obtained, which may be withdrawn at any time via the cookie management tool available on the Website.

Refusing non-essential cookies does not prevent the Customer from placing an order on the Website.


12. Applicable law — Dispute resolution

These general terms and conditions of sale and the transactions arising from them are governed by and subject to French law.

In the event of a dispute or complaint, the Customer will first contact HEDONIST LABS, at the contact details given in Article 1, in order to seek an amicable solution.

Consumer mediation. In accordance with Articles L. 612-1 et seq. and R. 616-1 of the French Consumer Code, the Customer has the right to make free use of the consumer mediator appointed by HEDONIST LABS with a view to the amicable resolution of any dispute with HEDONIST LABS. To this end, HEDONIST LABS has entered into an agreement with:

Mediation is free of charge for the Customer, the costs of handling and examining the case being borne by HEDONIST LABS. It may only be initiated by the Customer, and only after they have attempted to resolve the dispute directly with HEDONIST LABS by means of a written complaint. Mediation is conducted within a maximum period of ninety (90) days from the date on which the mediator notifies the parties of the referral; in the case of a complex dispute, this period may be extended, in which case the parties are informed.

The Customer retains the right to bring the matter before the competent court under the ordinary rules of law, and nothing in these terms may prevent them from doing so.


13. Partial invalidity

If one or more provisions of these general terms and conditions are held to be invalid or declared as such pursuant to a law or regulation or following a final decision of a competent court, the other provisions shall retain their full force and scope.


14. Force majeure

Any circumstances beyond the control of the parties that prevent the performance of their obligations under normal conditions are considered grounds for exemption from the parties' obligations and result in their suspension.

The party invoking such circumstances must immediately notify the other party of their occurrence, as well as of their cessation.

Force majeure events are all facts or circumstances that are irresistible, external to the parties, unforeseeable, unavoidable, beyond their control and that could not be prevented by them despite all reasonably possible efforts. In addition to those usually recognised by the case law of the French courts and tribunals, the following are in particular considered as such: blockage of means of transport or supply, earthquakes, fires, storms, floods, lightning, the shutdown of telecommunications networks or difficulties specific to telecommunications networks external to the Customers.

The parties will consult each other to examine the impact of the event and agree on the conditions under which performance of the contract will continue. If the force majeure event lasts longer than three (3) months, these general terms and conditions may be terminated by the injured party.


15. Pre-contractual information — Customer acceptance

The Customer acknowledges having been provided, prior to placing their order, in a legible and comprehensible manner, with these general terms and conditions of sale and all the information and details referred to in Articles L. 111-1 to L. 111-8 of the French Consumer Code, and in particular:

  • the essential characteristics of the Product, having regard to the communication medium used and the Product concerned;
  • the price of the Product and its ancillary costs;
  • in the absence of immediate performance of the contract, the date or period within which HEDONIST LABS undertakes to deliver the Product;
  • information relating to the identity of HEDONIST LABS, its postal, telephone and electronic contact details and its activities;
  • information relating to the legal guarantees and how to implement them;
  • information relating to the right of withdrawal and its exceptions, in particular the exception applicable to unsealed Products;
  • the possibility of resorting to conventional mediation in the event of a dispute.

The placing of an order on the Website by a natural or legal person entails full and complete adherence to and acceptance of these general terms and conditions of sale and the obligation to pay for the Products ordered.
